The terms governing access to and use of the Ukamart platform.

1 Introduction

These Terms & Conditions govern your access to and use of the Ukamart platform, including ukamart.co.uk, any related websites, mobile-enabled pages, seller tools, affiliate features, content tools, communications, and any other services or functionality made available by or through Ukamart Global Ltd.

Ukamart Global Ltd operates as a UK-based ecommerce and social commerce platform that may enable users to:

  • buy products
  • sell products
  • promote products and earn commissions
  • access marketplace and fulfilment-related services
  • engage with product content, promotional campaigns, and platform tools

By accessing the Ukamart platform, creating an account, browsing products, placing orders, listing goods, participating in affiliate or promotional activity, or otherwise using our services, you agree to be bound by these Terms & Conditions. If you do not agree to these Terms, you should not use the platform.

These Terms are intended to apply alongside our related policies, including our Privacy Policy, Cookie Policy, Delivery Policy, Returns & Refund Policy, Seller Policy, Dispute Resolution Policy, and any campaign-specific or feature-specific rules published by Ukamart from time to time.

Ukamart Global Ltd operates as a digital commerce business combining online retail, marketplace participation, social commerce, affiliate-led product promotion, and related operational support services.

You should make sure the registered jurisdiction shown in this clause matches your actual Companies House registration record. Since Dundee is in Scotland, this clause should be checked carefully before publication if your company is currently shown elsewhere as being registered in England and Wales.

3 Platform Structure

Ukamart operates as a hybrid platform. This means the platform may support several different transaction types and user roles at the same time.

3.1 Retail

In some cases, products are sold directly by Ukamart Global Ltd. Where this applies, Ukamart is the direct seller of the goods and is responsible for the retail transaction, subject to these Terms and applicable law.

3.2 Marketplace

In some cases, products are listed and sold by third-party sellers using the Ukamart platform. In those transactions, Ukamart may provide the marketplace infrastructure, listing tools, order flow, support functions, payment handling, dispute review, promotional exposure, and platform governance, but Ukamart may not be the direct seller of the goods.

3.3 Social and Affiliate Commerce

In some cases, products may be promoted through creators, affiliates, social media channels, content-led campaigns, or referral systems connected to the Ukamart platform. This means users may be able to promote products and, where applicable, earn commission on qualifying completed sales.

Because Ukamart supports more than one transaction model, the party legally responsible for the product, fulfilment, listing accuracy, returns handling, or promotional compliance may vary depending on the product, listing, seller identity, and transaction route. UK guidance for online platforms makes clear that marketplace selling does not remove the seller’s own legal obligations to consumers.

4 Eligibility and Acceptance of Terms

To use the Ukamart platform, you must have the legal capacity to enter into a binding contract. If you create an account, place an order, register as a seller, or join any affiliate or promotional feature, you confirm that:

  • you are at least 18 years old, or otherwise legally entitled to use the service under applicable law
  • the information you provide is accurate and complete
  • you will keep your details updated where relevant
  • you will comply with these Terms and applicable law

If you use Ukamart on behalf of a company, business, or other entity, you confirm that you have authority to bind that organisation to these Terms.

5 Changes to the Platform and These Terms

We may update, modify, suspend, discontinue, or replace any part of the Ukamart platform at any time, including features, categories, tools, seller services, affiliate programmes, promotional structures, payment arrangements, or marketplace processes.

We may also update these Terms & Conditions from time to time to reflect:

  • changes to our services
  • legal or regulatory developments
  • changes to how the platform operates
  • security or fraud prevention measures
  • updates to seller, buyer, or affiliate programmes

The latest version will be published on the website with an updated effective date. Continued use of the platform after updated Terms take effect will mean you accept the revised Terms to the extent permitted by law.

Consumer-facing terms and notices should be drafted clearly and fairly, and UK unfair terms guidance places strong emphasis on transparency and avoiding wording that creates significant imbalance against consumers.

6 User Accounts

To access certain features of the platform, including order management, seller tools, saved information, promotions, and account-based services, you may need to create an account.

You agree to:

  • provide true, accurate, and complete information
  • keep your login credentials secure
  • keep your account information updated
  • not share your account with unauthorised persons
  • accept responsibility for activity that takes place through your account unless you have notified us of unauthorised access

You must not:

  • create a false or misleading account
  • impersonate another person or business
  • use multiple accounts to evade platform restrictions
  • transfer, sell, or assign your account without our permission
  • use automated methods to create or operate accounts in breach of platform rules

We may suspend, restrict, or terminate accounts where we reasonably believe there has been:

  • fraud
  • abuse
  • fake orders
  • review manipulation
  • policy violations
  • misuse of promotions, payouts, or disputes
  • unlawful conduct
  • platform security risk

7 Buying on Ukamart

7.1 Product Listings and Product Information

Products displayed on Ukamart may be sold by Ukamart or by third-party sellers. Product pages may include descriptions, specifications, prices, delivery information, seller identity, product condition, images, videos, bundled items, grading information, warranty notes, reviews, and promotional content.

We expect product listings to be accurate and not misleading. However, product descriptions, images, packaging, colour display, technical specifications, and availability information may sometimes vary, especially where:

  • goods are pre-owned or refurbished
  • third-party sellers provide the listing content
  • manufacturers update specifications or packaging
  • images are for illustration only

Nothing in these Terms removes any legal rights a consumer may have where goods are not as described, are faulty, or are otherwise non-compliant. UK online sellers and marketplace traders must provide material pre-contract information and avoid misleading omissions.

7.2 Order Placement

When you place an order on Ukamart, you are making an offer to purchase the relevant goods or services on the terms displayed at checkout and in these Terms.

After placing an order, you may receive an email acknowledging that your order has been received. This acknowledgment does not necessarily mean that your order has been accepted.

7.3 Order Acceptance and Formation of Contract

A contract is normally formed when the order is accepted and the goods are dispatched, unless we expressly state otherwise in the listing, checkout flow, order confirmation, or applicable seller programme.

We reserve the right to refuse, cancel, or limit orders before acceptance where, for example:

  • the product is unavailable
  • the price or listing contains an obvious error
  • payment cannot be authorised
  • we suspect fraud or abuse
  • the item cannot legally be supplied
  • the seller cannot fulfil the order
  • there are shipping or compliance restrictions
  • 7.4 Pricing

Prices on the platform may be set either by Ukamart or by individual marketplace sellers. Prices may change at any time before order acceptance.

We try to ensure pricing is accurate and transparent. However, errors may occasionally occur. If a price, promotion, shipping charge, or product detail is incorrect, we may contact you with the correct information, allow you to reconfirm the order, or cancel the order before dispatch.

UK law places strong emphasis on transparent price presentation and on avoiding misleading commercial practices around charges, discounts, and omitted price information.

7.5 Payments

Payments made through the platform may be processed through third-party payment providers. By submitting payment details, you confirm that:

  • you are authorised to use the payment method
  • the billing and payment information provided is accurate
  • the transaction is legitimate and not fraudulent

Depending on the transaction type, Ukamart may:

  • authorise payment at checkout
  • capture payment immediately or later
  • operate a temporary hold or staged release system
  • delay seller payout until delivery, confirmation, or review milestones are met
  • suspend or reverse funds in cases of dispute, chargeback, fraud concern, or policy breach
  • 7.6 Delivery

Delivery may be handled by:

  • Ukamart
  • the marketplace seller
  • a third-party fulfilment provider
  • a courier or logistics partner

Delivery dates shown on the platform are estimates unless expressly stated otherwise. UK online sellers generally must deliver goods without undue delay and, unless another period is agreed, within 30 days.

7.7 Consumer Cancellation Rights

If you are a consumer buying online, you will often have the legal right to cancel your order within 14 days after receiving the goods, without giving a reason. If you exercise that right in time, you generally have another 14 days to return the goods. If the required cancellation information is not given, that right can be extended.

7.8 Returns and Refunds

Returns and refunds are governed by our Returns & Refund Policy and applicable law. For valid distance-sale cancellations, refunds are generally due within 14 days after the goods are received back or evidence of return is provided.

7.9 Marketplace Orders

Where products are sold by third-party sellers:

  • the seller is primarily responsible for the product
  • the seller is primarily responsible for listing accuracy
  • the seller is primarily responsible for dispatch and fulfilment
  • the seller is primarily responsible for the way marketplace returns are handled, subject to law and platform rules

Ukamart may still provide support, dispute review, enforcement action, or payment handling, but Ukamart is not automatically the direct seller in marketplace transactions.

8 Selling on Ukamart

8.1 Seller Registration and Approval

To sell on Ukamart, you may need to create a seller account and complete onboarding, verification, and any compliance checks we require.

We may request:

  • identity details
  • business details
  • bank or payout details
  • return address information
  • compliance documentation
  • product authenticity or safety documentation
  • tax or VAT information where relevant

We reserve the right to approve, reject, suspend, or limit seller accounts at our discretion, particularly where there are concerns about safety, fraud, compliance, authenticity, fulfilment capability, or customer risk.

8.2 Seller Obligations

Sellers must:

  • provide accurate product descriptions
  • only sell goods they are legally entitled to sell
  • ensure products comply with applicable law
  • fulfil orders within stated timeframes
  • provide appropriate customer service
  • honour valid consumer rights
  • comply with platform policies and campaign rules
  • keep account and product information accurate and current

Guidance for traders selling through online platforms makes clear that sellers remain responsible for consumer-law compliance even when using a marketplace or social platform.

8.3 Prohibited Items

Sellers must not list or sell:

  • counterfeit goods
  • stolen goods
  • unlawful products
  • recalled or unsafe goods
  • infringing products
  • restricted items without required permissions
  • misleading, misdescribed, or non-compliant electronics

We may remove listings or take enforcement action without notice where we believe goods are prohibited, unsafe, infringing, fraudulent, or inconsistent with platform standards.

8.4 Seller Fees

Ukamart may charge sellers:

  • listing fees
  • transaction fees
  • commissions on completed sales
  • promotional or campaign fees
  • payout processing charges
  • service fees linked to optional tools or fulfilment services

Applicable fees may be set out in onboarding materials, seller dashboards, campaign documentation, or other seller-facing materials.

8.5 Seller Liability

Sellers are responsible for:

  • their products
  • their listings
  • product authenticity
  • customer service standards
  • order fulfilment
  • returns handling
  • legal compliance
  • any breach of law, policy, or platform standards arising from their conduct

9 Affiliate and Social Commerce

9.1 Affiliate Programme

Ukamart may offer affiliate, referral, promoter, or creator tools that allow users to:

  • share product links
  • create and publish promotional content
  • earn commissions on qualifying sales
  • participate in campaigns or content-led product promotion
  • Participation in any affiliate or social commerce feature may be subject to additional programme rules.
  • 9.2 Commission Rules

Commission may be earned only on completed and verified sales that meet platform requirements. We may withhold, adjust, cancel, or reverse commission where:

  • the order is cancelled
  • the goods are returned
  • payment fails or is reversed
  • fraud is suspected
  • the sale was generated in breach of the programme rules
  • the transaction is incomplete or invalid
  • 9.3 Prohibited Conduct

Affiliates, promoters, and creators must not:

  • mislead customers
  • make false claims about products
  • hide important limitations or conditions
  • use spam, bot traffic, or fake engagement
  • manipulate links, attribution, or order data
  • use deceptive urgency, pricing, or discount claims
  • present unofficial content as formal Ukamart advice where that would be misleading
  • UK rules on unfair commercial practices prohibit misleading actions and omissions that affect consumer decisions.
  • 9.4 Content Usage Licence

Where you upload, post, submit, or publish content through the platform or in connection with Ukamart campaigns, you grant Ukamart a non-exclusive, worldwide, royalty-free licence to use, host, display, reproduce, adapt, distribute, promote, and make available that content for the purposes of operating, improving, promoting, and marketing the platform and related services, subject to applicable law and any additional programme terms.

You confirm that you have the right to grant that licence and that your content does not infringe the rights of others.

10 Payments, Holds and Escrow-Style Features

Ukamart may operate a payment holding, staged release, or escrow-style system for some transactions. This may be used to:

  • protect buyers from non-delivery or fraud
  • protect sellers from premature reversals in certain cases
  • allow dispute review before final release
  • support marketplace trust and safety
  • manage return, refund, chargeback, or complaint risk

Accordingly, Ukamart may:

  • delay seller payout until order milestones are met
  • hold funds where a dispute is active
  • offset refunds, platform deductions, or chargebacks
  • withhold funds where policy breaches, fraud indicators, or legal compliance issues arise

11 Delivery and Logistics

Ukamart may provide or facilitate logistics support, tracking tools, courier integrations, estimated delivery windows, and fulfilment-related information. However, delivery performance may depend on the seller, courier, fulfilment partner, customs process, or destination.

Delivery times are estimates unless expressly guaranteed. We are not responsible for delays caused by events outside our reasonable control, such as severe weather, strikes, customs holds, system failures, carrier disruption, or force majeure events.

12 Returns, Refunds and Disputes

12.1 Buyer Rights

Where applicable, customers have statutory rights under UK law, including cancellation rights for many online purchases and remedies where goods are faulty, not as described, or not delivered as required.

12.2 Marketplace Orders

For marketplace orders, returns may be handled by the seller in the first instance. Ukamart may assist, review evidence, mediate, delay seller payout, or intervene under platform rules where necessary.

12.3 Dispute Resolution

Ukamart may investigate disputes relating to:

  • non-delivery
  • item not as described
  • defective goods
  • refund disagreements
  • misleading listings
  • seller non-performance
  • abusive buyer conduct
  • affiliate or promotional misconduct connected to a transaction

Following review, we may:

  • approve or reject claims
  • issue refunds or partial refunds
  • require return of goods
  • delay or reverse payouts
  • remove listings
  • suspend or terminate accounts
  • take other platform enforcement action

13 Platform Role and Liability

Ukamart acts as a platform connecting buyers, sellers, affiliates, creators, and commerce participants. In marketplace transactions, Ukamart is not always the direct seller of the goods.

Accordingly, unless expressly stated otherwise, Ukamart is not automatically responsible for:

  • every statement made by third-party sellers
  • every third-party listing error
  • seller fulfilment failures outside Ukamart’s direct control
  • product defects in marketplace transactions where Ukamart was not the seller
  • indirect or consequential losses arising from third-party conduct

However, nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for fraud, death or personal injury caused by negligence, or statutory consumer rights. UK unfair terms guidance makes clear that terms and notices must not strip consumers of rights they have by law.

14 Acceptable Use

You must not:

  • use the platform unlawfully
  • upload malware or harmful code
  • interfere with the platform’s operation
  • attempt unauthorised access
  • misuse promotions, disputes, reviews, or payments
  • scrape or copy platform content without permission
  • create fake orders, fake reviews, or manipulated engagement
  • engage in abusive, deceptive, or fraudulent conduct

We may take enforcement action for any misuse that threatens platform integrity, user safety, legal compliance, or commercial fairness.

15 Intellectual Property

All intellectual property rights in the Ukamart platform, including text, graphics, software, interface design, branding, logos, layout, databases, and original platform content, belong to Ukamart Global Ltd or its licensors unless otherwise stated.

You must not copy, reproduce, distribute, republish, adapt, scrape, or commercially exploit platform content without our permission, except to the extent allowed by law or expressly permitted by us.

Users remain responsible for ensuring that any content they upload, including listings, images, videos, promotional content, and branding elements, does not infringe third-party rights.

16 Reviews, Ratings and User Content

Where the platform permits reviews, ratings, comments, or user-generated content, you must ensure that your submissions are lawful, accurate, and not misleading.

You must not:

  • post fake reviews
  • manipulate ratings
  • offer undisclosed incentives for reviews
  • submit defamatory, abusive, or unlawful content
  • impersonate customers or other users
  • Recent UK consumer-law developments place increased focus on fake reviews and misleading online commercial practices.

17 Data Protection and Privacy

We process personal data in accordance with applicable UK data protection law, including the UK GDPR framework and related ICO guidance. The ICO’s guidance continues to emphasise lawfulness, fairness, transparency, data minimisation, accuracy, security, storage limitation, and accountability.

18 Suspension and Termination

We may suspend, restrict, or terminate any account or access to the platform where we reasonably believe there has been:

  • fraud
  • repeated complaints
  • seller misconduct
  • affiliate abuse
  • payment abuse
  • fake engagement
  • policy violations
  • product safety or counterfeit concerns
  • security incidents
  • legal breaches

Suspension may be immediate where urgent action is reasonably necessary to protect users, the platform, funds, or legal compliance.

19 Force Majeure

We will not be liable for failure or delay in performing obligations under these Terms where that failure or delay arises from events outside our reasonable control, including:

  • natural disasters
  • severe weather
  • war or civil unrest
  • industrial disputes
  • power or telecom outages
  • platform-wide system failure
  • cyber incidents
  • courier or logistics disruption
  • customs or border restrictions
  • government action or regulatory intervention

20 Severability and Interpretation

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, the remaining provisions will remain in force to the fullest extent possible.

Headings are for convenience only and do not affect interpretation. References to policies or documents include updated versions unless the context requires otherwise.

21 Governing Law and Jurisdiction

These Terms should be governed by the law stated in your company’s final legal structure and website compliance position.

Because your business address is in Dundee, Scots law may be the more natural choice. If you prefer England and Wales, that can be used, but it should be consistent with your broader legal documentation and business setup.

A clean final version would usually read either:

  • “These Terms are governed by the laws of Scotland.”
  • or
  • “These Terms are governed by the laws of England and Wales.”

If you want the most internally consistent version for a Dundee-based UK entity, I would lean toward Scotland unless your solicitors want England and Wales for commercial standardisation.
